TOD’S TERMS OF USE

Welcome to tod.tv, and "TOD" application. You can use TOD’s online video services and watch a range of TV programs, movies, clips and miscellaneous content (“TOD Content”). These Services are operated, maintained, and made available for a fee by beIN Sports MENA WLL, a company registered in Qatar under the commercial registration no. 64667, with its principal address of business at P.O. Box 23231, Doha Qatar, (“TOD”, “We”, “Our” or “Us”), to you as a person of at least 18y.o, or as a children using TOD Services with the consent of your parents or the legal guardians, or as the company (“You”, “Your” or “Yourself”).

By clicking the “Accept” button, You agree to be bound by these Terms of Use, and Our Privacy Policy as may be changed from time to time without prior notice to You.. If You do not have the legal age or the parental or guardian’s consent, or the legal authority to represent a company, or if You do not agree with these Terms of Use, please select the “Decline” button.

1. TOD Services

1-1 TOD Content is streamed over the internet to certain internet-connected TVs, laptops, mobile phones, and any other devices (“TOD Devices”) upon approved payment of Your subscription. 1-2 We may offer You a number of subscription plans for TOD services (“TOD Services”): (i) Monthly Streaming Services Plans (Monthly Plans); or (ii) Yearly Streaming Services Plans (Yearly Plans); or (iii) Streaming Services sold on a prepaid basis (Event Plans, etc.) whether available. 1-3 You may view TOD Content primarily within the country in which you have established Your subscription and only in geographic locations where We offer TOD Services and have licensed such TOD Content. 1-4 TOD software is developed by, or for, TOD and may solely be used for authorized streaming and viewing of TOD Content through TOD Devices. This software may vary by device and medium, and functionalities and features may also differ between devices. You acknowledge that the use of the TOD Services may require third party software that is subject to third party licenses. You agree that You may automatically receive updated versions of the TOD software and related third-party software. 1-5 The quality of the display of TOD Content may vary from device to device, and may be affected by a variety of factors, such as Your location, the bandwidth available through and/or speed of Your Internet connection. HD, Ultra HD and HDR availability is subject to Your Internet service and device capabilities. Not all content is available in all formats, such as HD, Ultra HD or HDR and not all subscription plans allow you to receive content in all formats. Default playback settings on cellular networks exclude HD, Ultra HD and HDR content. 1-6 The time it takes to begin watching TOD Content will vary based on a number of factors, including Your location, available bandwidth at the time, the content You have selected and the configuration of Your TOD Device.

2. Subscription

2-1 To subscribe to TOD Services, please make all necessary arrangements that enable you to access TOD Services by having internet access paid by You to Your network/ mobile operator, and a TOD Device), then register using your personal email and a strong password of your selection to open and activate Your TOD account (TOD Account”), select any of the available Plans, and pay the corresponding subscription fees as per the Payment Options made available to You. 2-2 It is understood that TOD Services are intended for use by one person. If multiple people authorized or not by You frequently access the same account by using Your username and Your password, the provisions of clause 10 [Copyright] shall apply. Hence, You are personally responsible for the use of Your account by Yourself or by any other person (either with or without Your consent). Please keep Your password, and Payment Option confidential, and do not hesitate to inform Us if You become aware of, or suspect any unauthorized use of Your TOD Account. 2-3 All information provided by You must be correct, accurate, updated during Your subscription. 2-4 If you wish to cancel Your account, You may first cancel Your subscription.

3. Access to TOD Content

3-1 You can have up to five TOD Devices linked to each of Your TOD Account at any given time. You will be able to remove and register only one TOD Device per each month. 3-2 You will be allowed to connect on TOD Account as follows: one concurrent stream for sports package subscribers, and two concurrent streams are allowed for entertainment and All-In package subscribers. 3-3 Access to TOD Services is permitted on a temporary basis. We reserve the right to withdraw or modify, suspend, or discontinue any or all TOD Service(s) without prior notice to You, without TOD being responsible for such unavailability for any reason – such as that caused by a network outage, application fault, or natural disaster -, or being liable to You or to any third party should it exercise such rights. 3-4 We may make special promotional offers from time to time by letting users to apply voucher codes that will give them free access to Our subscriptions for various period of time. These special promotional offers may not be used in conjunction with any other offer from TOD. TOD reserves the right to amend/cancel any special promotional offers for any reason. TOD is not obligated to offer the same special promotional offers at the time of renewal. Other terms and conditions may apply to such offer depending on Your subscriber profile. 3-5 We may change TOD Content at any time without prior notice. 3-6 TOD Content may become outdated at some point without any obligation on Us to update that material.

4. Your Package

4-1 The programs that We provide as part of Your package (“Package”) are primarily supplied by third parties and their availability is outside Our control. Consequently, TOD accepts no responsibility for TOD Content of such programs or the channels and We reserve the right to withdraw or replace any channel (“Channel”) or advertised programs, or reduce or change the number of hours of any Channel’s broadcast. 4-2 If You elect to change Your Package, for instance to add an additional a la carte Channel or kind of content, or to add another additional subscription package, We will permit You to do so and we will consolidate Your prices based on the usage of your previous Package till date, and only charge the remaining balance for the new subscription either for that month or for that year, depending on the package You have selected. 4-3 We will carry out upgrade the package of such a request, provided the payment terms are met by You. 4-4 You will be able to downgrade from combined packages like All IN to individual packages like Sports or Entertainment. The new subscription will only begin after the end of their current subscription. 4-5 When You choose to upgrade Your subscription from an individual package to an All-In (or higher package), the amount paid by the user will be calculated and consolidated on a pro-rata basis, and only the balance of the new subscription amount will be taken by Us. 4-6 Your Package selection will determine the content that you can access TOD Content at such additional fees as may be applicable as determined by TOD from time to time. 4-7 TOD is entitled not to broadcast all matches or channels on TOD. 4-8 Packaging & Pricing are not related to rights ownership, meaning if there is any change of the rights then TOD won’t be obliged to reimburse You with cost of subscription due to loss of such rights.

5. Payments

5-1 You agree to pay Us on the day of Your subscription via a credit card or any other payment method acceptable to Us the full subscription payments for the TOD Service, and any other charges You may incur such as taxes and/or, transaction fees. You agree that Your subscription payments may vary from time to time depending on the Payment Option you have chosen. We will notify you by email about any change to the amount of Your TOD subscription. 5-2 Unless You cancel Your membership before Your billing date, You authorize Us to charge Your membership fee for the next billing cycle to the same payment method previously used by You. 5-3 For Monthly Plans/ Yearly Plans payment options payable by credit card or direct debit payment method, We will collect the amount due automatically from Your account from the date of Your subscription. It is understood that one-time payment in advance shall be made for yearly subscription. 5-4 For Monthly Plans/ Yearly Plans, payment options, We may change Your subscription payment at any time by giving you a minimum of one (1) month notice. We may also change Your subscription payments without notice (i) if required by law or if any regulatory authority requires Us to change any aspect of Our pricing which affects Your subscription payments or (ii) if you change Your TOD Services plan. 5-5 If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and You do not cancel Your account, We may suspend Your access to TOD Services until We have successfully charged a valid payment method. If you have failed to pay any due payments, we can at our sole discretion immediately suspend and/or disconnect the Service and terminate this Contract. Additional fees may apply. 5-6 TOD will not refund You if You will cancel Your yearly subscription. 5-7 If You choose to cancel Your subscription at any stage, the cancellation will take effect from the last day of Your paid period following Your notice of cancellation, with no refund of paid money. 5-8 All transactions are final. You are not entitled to any refund in case of any interruption in TOD Services.

6. Links

6-1 You may create a link to Our home page, provided that this is done in a legal and fair manner and without causing harm to or exploitation of Our reputation. You may not create that link in a manner that indicates any participation, approval or consent by Us, which does not exist otherwise We reserve the right to withdraw such permission to create the link. 6-2 If the Services include links to other websites and sources provided by third parties, those links are provided for viewing only, and We have no control over the contents of these sites or resources. Therefore, We do not accept any responsibility for them or for any losses or damages may arise from Your use of it.

7. TOD Service Availability

Terms found herein that relate to TOD Services, TOD Content types, features or functionality which are not available in Your country, shall not apply to You unless and until they become available to You.

8. Limitation of Liability

TOD will not be liable for: 8-1 failure to provide TOD Services caused by events outside Our reasonable control; any bugs or content that might be harmful for the proper functioning of Your digital device as a result of You accessing TOD Services; or 8-2 any software malfunction encountered by You in accessing TOD Services; and any loss or damage caused by Our employees or agents in circumstances where there is no breach of a legal duty of care owed to You by Us or any of Our employees or agents; or 8-3 such loss or damage is not a direct or reasonably foreseeable result of such breach; or 8-4 any increase in loss or damage results from a breach by You of any terms herein; or 8-5 first time installation (FTI) done by You and/or by any third parties.

9. Intellectual Property Rights

9-1 All TOD Content rights, including without limitation, copyright, database rights and trademarks (registered and unregistered) are owned by Us or licensed to Us. 9-2 All material (UI design, text, software, graphics, footage, logos, etc.) You receive (and any selection or arrangement) are subject to the copyright of Us and/or others. In the event of any third party claim that TOD Content or Your use of the TOD Services infringes that third party’s intellectual property rights, only TOD (and not a third-party payment provider) are solely responsible for the investigation, defence, a potential settlement, and potential discharge of such claim. 9-3 You must not and You may not assist anyone to, or attempt to, reverse engineer, decompile, disassemble, adapt, modify, copy, distribute copies, download or attempt in IP spoofing /hacking to access the service or to reproduce, lend, hire, rent, perform, sub-license, make available to the public, create derivative works from, broadcast, commercially exploit, transmit or relay any part of the programs or Channels provided to You as part of TOD Services. You may only use the Service for private use and it must not be accessible by the general public or in a communal viewing area. 9-4 You may not directly or indirectly charge others for accessing, viewing or listening to any of the of TOD Content provided to You as part of TOD Services, or commercialize or attempt to re-sell the programs or channels provided to You as part of TOD Services in any way, which includes any third party software application. 9-5 In the event that you print, copy or download any part of TOD Content in a manner that a violation of these Terms of Use, then Your right to use TOD Services shall cease immediately and you shall, at Our option, return or destroy any copies of these materials. 9-6 All TOD trademarks, logos, and registered marks are a registered TOD trademark.

10. Copyright

10-1 Your TOD Account is unique to You, hence We can identify any unauthorized use of the TOD Services or illegal copying of programming or non-authorized reception of programming. In case of such breach, We shall be authorized without notice to (i) suspend and/or terminate Your TOD Account; and (ii) shall co-operate by providing Your details and Your address to any owner/licensor of copyright in the illegally copied program for the purpose of prosecution of such offence. 10-2 Any breach of this clause may infringe the copyright of third parties in the programs and channels provided as part of TOD Services. You will be responsible for any claims made against Us for losses we may suffer as a result of actual or claimed copyright infringement committed by You or any other person using Your TOD Account, for which You hereby indemnify to the full extent of such losses. 10-3 If You believe that any TOD Content available through the Services infringe a copyright claimed by you, please contact Us at the following address: menalegal@bein.com.

11. Parental Guidance

11-1 TOD Content You have chosen may contain content You deem, as per Your own judgement, indecent, objectionable or offensive, or which may not be suitable for young audiences. If You permit a child to use Your device to access, view or listen to TOD Content, You are solely responsible for deciding whether or not TOD Content is appropriate for that child to view and TOD shall not be liable for that decision. This clause pertains to use of all TOD Services on all TOD Devices. 11-2 Any TOD Content that is deemed to be ‘KIDS’ by Us come into the TOD Content catalogue as ‘KIDS’ segmented content. If You wish to block a child from watching other non-KIDS content, You shall create a separate KIDS profile, and You shall ensure that all ‘Adult’ profiles are locked by You.

12. Transfer of Contract

12-1 TOD reserves the sole right to partly or wholly transfer the rights under these Terms of Use to a third party. 12-2 These Terms of Use are personal to You and no third party benefit entitlement.

13. Termination/Suspension of TOD Account

13-1 We can terminate Your account or place Your account on hold in order to protect You, or TOD, or Our partners from identity theft or other fraudulent activity. 13-2 We reserve the right to terminate or prevent the use of Your account, or TOD Services at any time, without prior warning or responsibility on Us, if We suspect or find, at Our own discretion, that You violated any of these Terms of Use, or the laws, or a law provision, or if You have carried out any inappropriate action, or for any other reason. 13-3 We reserve the right to terminate Your account if this use is a burden on TOD. 13-4 As and when necessary, we may suspend access to TOD Content or close them indefinitely.

14. Renewal

14-1 At the end of the Your subscription it will be renewed automatically by the length of Your subscription term unless You notify Us at least fifteen (15) days for the monthly subscription and thirty (30) for the annual subscription before the expiration of Your current subscription of Your intention to cancel Your subscription 14-2 The renewal term of Your subscription shall always start on the day of Your payment, at the applicable rates, which are subject to change. 14-3 If Your access to TOD Services is not renewed in accordance with the above paragraph, then access to TOD Services will be automatically disabled until you have paid the applicable renewal fees.

15. Piracy

15-1 Notwithstanding anything contained herein, TOD shall be entitled, at all times, to employ such measures for the detection of piracy and/or other unlawful activities with respect to TOD Content. You acknowledge that the provision of unauthorized access to TOD or TOD Account sharing or any other means is an illegal act that causes TOD considerable damage. 15-2 We may terminate Your TOD subscription, and You must indemnify us against any cost, expense (including legal expense we actually incur to enforce these Terms of Use), damage, injury, loss (including loss of revenue), liability, claim, action, or proceeding if you: Copy any of the programmes, data or content included on TOD or available as single events to re-transmit them later, or for any reason due to piracy. 15-3 In the event that TOD determines that You are or were engaged in the unauthorized access/distribution of TOD Content at any time, TOD is authorized to immediately terminate Your access to TOD Services, in addition to its right to seek reasonable compensation equivalent to a minimum of $2,000 for damages incurred from the result of each piracy act directly linked to Your account or actions, including automatic charges to Your bank card to recoup compensation for the redistribution of TOD Content, encryption keys or any copyrighted material, such amount being a pre-estimate of the losses TOD has suffered as a result of Your piracy act. 15-4 TOD reserves the right to refer You to the relevant authorities for criminal prosecution, in accordance with the law or to take any other action that is legally available to compensate TOD for Your actions.

16. Disclaimer of Warranties; Liability Limitation

16-1 TOD Content is provided without any exact guarantees, conditions or undertakings. 16-2 TOD does not guarantee, represent, or warrant that Your use of TOD Services will be uninterrupted or error-free, and You agree that from time to time TOD may remove TOD Services for indefinite periods of time, cancel them at any time, or otherwise limit or disable Your access to them without notice to You. You expressly agree that Your use of, or inability to use, or activity in connection with TOD Services is at Your sole risk. TOD Services and all TOD Content are provided "as is" and "as available" for Your use, without warranties of any kind, either express or implied, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. 16-3 In no case shall TOD, its directors, officers, employees, affiliates, agents, contractors, or licensors be liable for any direct, indirect, incidental, punitive, special, or consequential damages arising from Your use of any of TOD Services or TOD Content or claim related to, any errors or omissions in any content, or any injury, loss or damage of any kind incurred as a result of the use of any TOD Device, even if advised of their possibility. 16-4 TOD shall use reasonable efforts to protect information submitted by You in connection with TOD Services, but You agree that Your submission of such information is at Your sole risk, and You hereby release TOD from any and all liability to You for any loss or liability relating to such information in any way. 16-5 TOD does not represent or guarantee that TOD Services or TOD Content will be free from loss, corruption, attack, viruses, interference, hacking, or other security intrusion, and You hereby release TOD from any liability relating thereto.

17. Waiver and Indemnity

By using TOD Services, You agree, to the extent permitted by law, to indemnify and hold TOD, its directors, officers, employees, affiliates, agents, contractors, and licensors harmless with respect to any claims arising out of Your breach of these Terms of Use, Your use of TOD Services, or any action taken by TOD as part of its investigation of a suspected violation of these Terms of Use or as a result of its finding or decision that a violation of these Terms of Use has occurred. You agree that You shall not sue or recover any damages from TOD, its directors, officers, employees, affiliates, agents, contractors, and licensors as a result of its decision to remove or refuse to process any information or content, to warn You, to suspend or terminate Your access to TOD Services, or to take any other action during the investigation of a suspected violation or as a result of TOD's conclusion that a violation of these Terms of Use has occurred. This waiver and indemnity provision applies to all violations described in or contemplated by these Terms of Use.

18. Collection and Processing of Personal Data

The term 'Personal Data' refers to such information which, directly or indirectly, may refer to You as an individual (like Your name, bank card number, phone number, email, selections made, or IP address). Personal Data processing refers to any action that We or a third party that We have engaged take with the Personal Data, such as collection, registration and storage. Personal Data may only be processed for specified and explicitly stated purposes and may not be subsequently processed for any purpose that goes beyond these purposes. 19. Governing Law and Jurisdiction

These Terms of Use and any dispute or claim arising out of or in connection with it is the governed and shall be construed in accordance with the laws of the State of Qatar. You agree to submit to the personal and exclusive jurisdiction of the courts of the State of Qatar to resolve any dispute or claim arising from these Terms of Use.

20. General

20-1 We may notify You with respect to the Services by sending an email message to Your email address. Notices shall become effective immediately. We may also contact You by email or push notification to send You additional information about TOD Services and TOD Content. 20-2 You agree that TOD has the right, without liability to You, to disclose any data and/or information to law enforcement authorities, government officials, and/or a third party, as TOD believes is reasonably necessary or appropriate to enforce and/or verify compliance with any part of these Terms of Use(including but not limited to TOD's right to cooperate with any legal process relating to Your use of TOD Services and/or TOD Content, and/or a third-party claim that Your use of TOD Services and/or TOD Content is unlawful and/or infringes such third party's rights). 20-3 Children under the age of eighteen should review these Terms of Use with their parent or guardian to ensure that the child and parent or legal guardian understand them. They should further use TOD Services and TOD Content with the consent of their parents or legal guardians. 20-4 If You have any questions or concerns about any material that appears on TOD Content or TOD Services, please inform us through Our customer service.
